Terms of Service

These Terms of Service ("Terms") govern the use of the online store at https://frostorio.com ("the Store") and every purchase made through it. By placing an order you accept these Terms in full. If you do not accept these Terms, do not use the Store.

1. The seller

The Store is operated by ZHENG ZHOU DAI JIU SHANG MAO YOU XIAN GONG SI (郑州市代久商贸有限公司), trading as Frostorio, registered in the People's Republic of China with the Zhengzhou Municipal Administration for Market Regulation, represented by its Managing Director Aojun Liu (奥军 刘).

2. Scope of these Terms

These Terms apply to all contracts of sale for goods offered on the Store, whether the buyer is a consumer or acts in the course of a business, trade or profession. Where a provision applies only to consumers or only to business buyers, this is stated expressly.

"Consumer" means a natural person who enters into the contract for purposes wholly or predominantly outside their trade, business, craft or profession, within the meaning of § 13 BGB. "Business" means a natural or legal person or partnership with legal capacity who, when entering into the contract, acts in exercise of their commercial or self-employed professional activity, within the meaning of § 14 BGB.

3. Products, pricing, and stock

  1. Product descriptions, photographs, colour renditions and dimensions on the Store are provided in good faith and represent the goods with a reasonable degree of accuracy. Minor deviations due to production tolerances, screen colour calibration or textile behaviour do not constitute a defect.
  2. Prices are quoted in the currency shown at checkout and include German VAT where applicable. Shipping and any applicable duties are shown separately at checkout — the total displayed before you click "Place order" is the total you will pay (no drip pricing).
  3. Stock levels are updated in near-real time but are not guaranteed. If an ordered item becomes unavailable after purchase we will inform you within 2 working days and either refund the item in full or offer an equivalent substitute at the same or lower price.

4. Order and formation of contract

  1. The display of goods on the Store is an invitation to treat, not a binding offer.
  2. By clicking "Place order" you make a binding offer to purchase the items in your cart on these Terms.
  3. We confirm receipt of your order by email — this confirmation is not yet an acceptance of your offer.
  4. The contract of sale is formed when we send you a dispatch confirmation email, or when we physically dispatch the goods, whichever is earlier.

5. Payment

Payment is due at checkout by the methods offered on the Store at the time of ordering. Available payment methods may include card (Visa, Mastercard, Amex), Apple Pay, Google Pay, PayPal, Klarna, and bank transfer, depending on jurisdiction. All card and wallet payments are processed by our PCI-compliant payment provider — Frostorio does not store full payment card numbers on its servers.

For bulk B2B orders above EUR 5,000 we may offer 50% deposit and 50% before dispatch by prior written agreement — email us for a quote.

6. Delivery, transfer of risk, retention of title

  1. Delivery times, carriers and cost are as described in our Shipping Policy, which forms part of these Terms.
  2. For consumers, the risk of loss and damage in transit passes to the consumer when the goods are physically handed over.
  3. For business buyers, the risk passes when the goods are handed to the carrier.
  4. Retention of title: for consumer sales, ownership passes on delivery. For business sales, ownership of the goods remains with us until the full purchase price has been received, in accordance with § 449 BGB.

7. Right of withdrawal (consumers)

Consumers have a 14-day right of withdrawal without giving reasons. Full details, the model withdrawal form and the effects of withdrawal are set out in our Refund Policy, which forms part of these Terms.

8. Warranty of conformity

  1. Statutory warranty of conformity applies to all sales — 2 years for consumers under §§ 434 ff. BGB (as amended in 2022 to transpose EU Directive 2019/771).
  2. For business buyers the warranty period is 1 year from the passing of risk, subject to statutory limitations. Business buyers must inspect goods on delivery and notify obvious defects within 5 working days (§ 377 HGB); hidden defects must be notified promptly upon discovery.
  3. Warranty claims: contact contact@frostorio.com with your order number, a description of the defect, and clear photos. We will offer repair, replacement, price reduction or refund in accordance with your statutory rights.

9. Liability

  1. We are liable without limitation for damages caused intentionally or by gross negligence, for damage resulting from injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz), and where a guarantee has been given.
  2. In the case of a breach of a material contractual obligation (Kardinalpflicht) through slight negligence, our liability is limited to typical and foreseeable damage. A material contractual obligation is one whose fulfilment enables the proper performance of the contract in the first place, and on the observance of which the contractual partner regularly relies.
  3. Any other liability for slight negligence is excluded.
  4. The above limitations apply to any liability of our legal representatives, employees and vicarious agents to the same extent.

10. Intellectual property

All content on the Store — including text, photographs, logos, product images and layout — is protected by copyright and, where applicable, trade mark or design right. Content may not be reproduced, republished or used commercially without our prior written consent, except for the private, non-commercial use of individual pages.

11. Data protection

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.

12. Governing law, jurisdiction, language

  1. These Terms and every contract of sale entered into under them are governed by the substantive law of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
  2. Where the buyer is a consumer resident in another EU Member State, this choice of law does not deprive the consumer of the protection of mandatory provisions of the law of the consumer's country of habitual residence, in accordance with Art. 6 of Regulation (EC) No 593/2008 (Rome I).
  3. For business buyers, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Bremen, Germany.
  4. The contract language is English. In case of translations, the English version prevails.

13. Online dispute resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in a dispute-resolution procedure before a consumer arbitration board.

14. Amendments and severability

We may amend these Terms with effect for future orders; the version in force at the time an order is placed applies to that order. If any provision of these Terms is or becomes invalid, the validity of the remaining provisions is not affected; the invalid provision shall be replaced by the statutory rule that most closely reflects the economic intent of the parties.
